ArmaDocs Terms of Service
Effective Date: September 1, 2026 Last Updated: September 1, 2026
These Terms of Service (“Terms”) constitute a legally binding agreement between Armada Trucking Group Inc., a California corporation (“ArmaDocs,” “we,” “us,” or “our”), and the business, organization, or other legal entity that accesses or uses the ArmaDocs platform (“Customer,” “you,” or “your”).
These Terms govern your access to and use of the ArmaDocs website, applications, software, services, integrations, APIs, automated tools, reports, communications, and related products and services (collectively, the “Services”).
By creating an account, purchasing or activating a subscription, starting a free trial, connecting a third-party service, clicking an acceptance button, or otherwise accessing or using the Services, you agree to these Terms.
If you access or use the Services on behalf of a company or other organization, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “Customer,” “you,” and “your” refer to that entity.
If you do not agree to these Terms, you may not access or use the Services.

We will use commercially reasonable efforts to avoid materially reducing the core functionality of a paid subscription during its then-current paid billing period without reasonable justification.
Features identified as beta, experimental, preview, early access, or similar may be changed or discontinued at any time.
1.3 Additional Modules
Certain functionality may be offered as optional modules, premium features, add-ons, or separately priced services.
Additional terms presented when activating such functionality will become part of these Terms.
2. Business Use
2.1 Business-to-Business Service
ArmaDocs is primarily intended for commercial and business use.
Unless expressly stated otherwise, the Services are not offered as a consumer product.
2.2 Customer Responsibility
Customer is responsible for determining whether the Services are appropriate for its business, operations, contractual obligations, regulatory requirements, and intended use.
Customer remains responsible for its business decisions and operations regardless of information, recommendations, calculations, alerts, reports, or automation provided through ArmaDocs.

3.1 Account Registration
You may be required to create an account to access some or all of the Services.
You agree to provide accurate, current, and complete account information and to keep that information reasonably current.

Customer is responsible for selecting appropriate administrators and permissions.
3.4 Authorized Users
Customer may permit its employees, contractors, drivers, managers, agents, or other authorized personnel to use the Services on Customer’s behalf.
Customer is responsible for ensuring that its authorized users comply with these Terms.
4. License and Access Rights
4.1 Limited License
Subject to these Terms and payment of applicable fees, ArmaDocs grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable subscription period to access and use the Services for Customer’s internal business purposes.
4.2 Restrictions
Except where applicable law expressly prohibits such restrictions, Customer may not:
- copy or reproduce the Services except as expressly permitted;
- sell, resell, sublicense, rent, lease, or commercially distribute access to the Services;
- reverse engineer, decompile, or attempt to discover source code or non-public underlying technology;
- circumvent access restrictions or security controls;
- interfere with the operation or security of the Services;
- use automated methods to overload, scrape, or improperly extract information from the Services;
- introduce malware or malicious code;
- access another customer’s data without authorization;
- use the Services to violate applicable law or third-party rights;
- use the Services to develop or train a competing product using unauthorized extraction of ArmaDocs proprietary materials; or
- remove proprietary notices from the Services.
Nothing in this Section prevents Customer from accessing, exporting, or using its own Customer Data as permitted by these Terms.
5. Customer Data
5.1 Ownership
As between Customer and ArmaDocs, Customer retains ownership of data, records, documents, information, and content submitted to, transmitted to, imported into, generated for, or made available to ArmaDocs on Customer’s behalf (“Customer Data”), subject to any ownership rights of third parties.
Using ArmaDocs does not transfer ownership of Customer Data to ArmaDocs.
5.2 License to Process Customer Data
Customer grants ArmaDocs a limited right to host, process, transmit, reproduce, transform, organize, analyze, and otherwise use Customer Data as reasonably necessary to:
- provide the Services;
- operate requested integrations;
- generate requested reports and calculations;
- perform authorized automated workflows;
- provide customer support;
- maintain security;
- prevent fraud and abuse;
- troubleshoot technical issues; and
- comply with applicable law.
5.3 Customer Authority
Customer represents and warrants that it has the rights, permissions, notices, and lawful basis reasonably necessary for ArmaDocs to process Customer Data as instructed by Customer.
This includes information concerning Customer’s drivers, employees, contractors, vehicles, operations, customers, and business partners.
5.4 Accuracy
ArmaDocs may process information received from Customer or third-party systems without independently verifying its accuracy.
Customer is responsible for reviewing information where accuracy is material to Customer’s operations or legal obligations.
5.5 Derived and Aggregated Information
ArmaDocs may generate statistical, analytical, operational, or technical information derived from use of the Services.
We may use information that has been aggregated or de-identified so that it does not reasonably identify Customer, an authorized user, driver, or other identifiable individual to:
- operate and improve the Services;
- analyze platform performance;
- develop functionality;
- conduct research;
- improve security; and
- understand general usage patterns.
We will not represent aggregated or de-identified information as Customer-specific information.
6. Third-Party Services and Integrations
6.1 Connected Services
ArmaDocs may allow Customer to connect third-party products and services, including fleet-management systems, telematics providers, electronic logging systems, payment providers, mapping providers, cloud-storage services, communications providers, accounting systems, transportation platforms, and other external services (“Third-Party Services”).
6.2 Authorization
By connecting a Third-Party Service, Customer authorizes ArmaDocs to exchange information with that service as reasonably necessary to provide the requested functionality.
Customer represents that it is authorized to provide any credentials, API keys, tokens, or permissions used for the connection.
6.3 Third-Party Terms
Third-Party Services are governed by their respective providers’ agreements, privacy policies, availability, and technical requirements.
ArmaDocs does not control those services.
6.4 Changes or Interruptions
An integration may stop functioning because a third party changes its API or other technical interface, changes authentication requirements, limits or revokes access, changes pricing, experiences an outage, modifies its terms, restricts data availability, or discontinues functionality.
ArmaDocs is not responsible for failures caused by circumstances within a Third-Party Service’s control.
We may modify or discontinue an integration when continued operation is impractical, unlawful, insecure, or no longer commercially reasonable.
6.5 Third-Party Data Accuracy
Information imported from Third-Party Services may contain inaccuracies, delays, omissions, duplicate records, incomplete records, or inconsistencies originating from the provider or underlying source.
ArmaDocs may use such information to generate calculations, reports, alerts, analyses, recommendations, or automated workflows.
The reliability of those outputs may depend on the accuracy, completeness, and timeliness of the underlying information.
Customer should verify information when accuracy is material to a financial, tax, safety, employment, regulatory, contractual, or operational decision.
7. FedEx and Other Transportation Networks
7.1 Independent Service
ArmaDocs is an independent software service.
Unless expressly stated otherwise in writing, ArmaDocs and Armada Trucking Group Inc. do not represent that ArmaDocs is operated by, sponsored by, endorsed by, or affiliated with FedEx Corporation, Federal Express Corporation, FedEx Ground, or any other transportation network, carrier, customer, contractor network, or third-party platform.
Third-party company names, trademarks, and service names referenced within the Services remain the property of their respective owners.
7.2 FedEx and Third-Party Systems
Certain ArmaDocs functionality may process information relating to FedEx or other transportation networks, including trip, settlement, mileage, dispatch, payment, adjustment, or operational information.
ArmaDocs does not control the availability, accuracy, policies, systems, payment decisions, contractual requirements, acceptance decisions, or business practices of those third parties.
7.3 Potential Payments and Adjustments
ArmaDocs may identify trips, charges, adjustments, reimbursements, payments, fuel activity, or other items that appear to warrant review or may represent a potential financial opportunity.
Identification of such an item does not guarantee that money is actually owed, an adjustment request is valid, a third party will accept an adjustment, a claim will be approved, a payment will be made, a particular amount will be recovered, or projected savings will actually be realized.
Customer remains responsible for reviewing the underlying information and determining whether to pursue any adjustment, claim, reimbursement, or other action.
8. Transportation, Tax, Safety, and Regulatory Information
8.1 Operational Tool
ArmaDocs is an operational technology platform.
Unless expressly agreed otherwise in a separate written agreement, ArmaDocs is not acting as Customer’s attorney, accountant, tax advisor, insurance advisor, safety consultant, compliance officer, motor carrier, freight broker, or governmental filing authority.
8.2 Compliance Responsibility
Customer remains responsible for complying with all laws, regulations, contractual requirements, permits, tax obligations, safety requirements, reporting requirements, and recordkeeping requirements applicable to Customer’s operations.
8.3 IFTA and Mileage Information
ArmaDocs may calculate, organize, prepare, generate, or assist with information used for IFTA reporting, IVMRs, mileage reporting, jurisdictional reporting, tax calculations, or related records.
Such information may depend upon GPS or telematics data, odometer information, trip records, third-party information, vehicle assignments, Customer configuration, jurisdictional information, and other underlying records.
Customer is responsible for reviewing information before relying upon it for a legally required filing or record.
8.4 Automated Filing
Where ArmaDocs expressly provides an automated filing or submission feature, Customer authorizes ArmaDocs and its service providers to transmit the applicable information on Customer’s behalf when Customer or an authorized administrator enables that functionality.
Customer remains responsible for ensuring that information provided to ArmaDocs is accurate and for reviewing filing results or exceptions made available through the Services.
8.5 Hours of Service and Safety Information
Hours-of-service, safety, vehicle, maintenance, weather, route, or similar information presented through ArmaDocs is intended to assist Customer.
It does not replace legally required records, professional judgment, driver responsibility, dispatch judgment, inspections, maintenance procedures, or compliance systems required by applicable law.
8.6 Weather, Road, and Route Information
Weather forecasts, road conditions, closures, routing information, hazard information, and similar information may originate from third parties and may be delayed, incomplete, inaccurate, or subject to rapid change.
Such information should not be treated as a guarantee that a route, road, or operating condition is safe.
9. Automation and Artificial Intelligence
9.1 Automated Features
The Services may use automation, machine learning, artificial intelligence, rules-based systems, or other computational methods to classify information, identify anomalies, generate summaries, identify potentially unpaid items, suggest actions, generate reports, analyze operational information, prepare communications, identify compliance-related issues, recommend workflows, or perform other tasks.
9.2 Human Review
Automated outputs may be inaccurate, incomplete, or inappropriate for a particular situation.
Customer is responsible for applying appropriate human review before relying upon automated outputs for material business, financial, employment, safety, tax, compliance, or legal decisions.
9.3 No Guarantee of Detection
Features intended to identify missing payments, discrepancies, compliance issues, maintenance issues, safety issues, expirations, or other conditions are assistive tools.
ArmaDocs does not guarantee that every issue will be detected.
9.4 Authorization of Automated Actions
Certain features may allow Customer to configure ArmaDocs to perform actions automatically or with limited additional confirmation.
These actions may include, where supported:
- generating or submitting IVMRs;
- transmitting reports or records;
- sending driver or employee communications;
- sending availability requests;
- creating notifications and reminders;
- preparing adjustment requests;
- generating operational records;
- initiating workflows; or
- performing other configured actions.
When Customer or an authorized administrator enables an automated feature, Customer authorizes ArmaDocs to perform the configured actions on Customer’s behalf according to the settings selected by Customer.
Customer is responsible for determining which automated functionality should be enabled, ensuring that the individual enabling it has appropriate authority, maintaining accurate configuration settings, reviewing automated results where appropriate, and disabling or modifying automation when it is no longer desired.
ArmaDocs may provide safeguards, confirmations, exception handling, logs, or other controls for particular automated functions. The availability of such controls may vary by feature.
9.5 AI-Generated Information
Artificial-intelligence-generated or assisted content may contain errors or produce unexpected results.
Unless expressly identified otherwise, AI-generated information should be treated as assistive information rather than professional legal, tax, accounting, safety, employment, or regulatory advice.
10. Driver and Workforce Information
Customer may use the Services to manage information concerning employees, independent contractors, drivers, applicants, or other personnel.
Customer is solely responsible for determining what information it may lawfully collect, what notices or consents are required, who may access that information, how information may be used in employment or contractor decisions, applicable retention requirements, and compliance with employment, labor, privacy, transportation, and other applicable laws.
ArmaDocs does not make employment decisions on Customer’s behalf unless expressly agreed in a separate written agreement.
11. Communications
11.1 Service Communications
ArmaDocs may send communications relating to account activity, authentication, security, billing, subscription status, system changes, required actions, operational alerts, connected workflows, and support.
11.2 Customer-Directed Communications
Certain Services may allow Customer to send or initiate email, SMS, push notifications, telephone communications, or other messages to drivers, employees, contractors, customers, or other recipients.
Customer is responsible for ensuring it has all permissions and consents required to send those communications.
11.3 Communication Providers
Communications may be transmitted using third-party service providers and telecommunications networks.
Delivery cannot be guaranteed.
12. Monthly Subscriptions and Fees
12.1 Month-to-Month Subscription
Unless otherwise expressly agreed in an applicable written order form or agreement, paid ArmaDocs subscriptions are offered on a month-to-month basis.
There is no standard annual subscription commitment.
The applicable monthly price and included functionality will be disclosed when Customer subscribes.
12.2 Automatic Monthly Renewal
Paid subscriptions automatically renew each month until canceled.
By purchasing a subscription, Customer authorizes ArmaDocs and its payment processor to charge the applicable payment method each month for subscription fees, purchased modules or add-ons, applicable taxes, and other charges expressly authorized by Customer.
12.3 Price Changes
ArmaDocs may change subscription prices from time to time.
A price increase will not retroactively affect a billing period that has already been paid.
Where required, ArmaDocs will provide advance notice before a changed price applies to a subsequent monthly renewal.
If Customer does not agree to the new price, Customer may cancel before the renewal to which the new price applies.
12.4 Taxes
Fees are exclusive of applicable sales, use, value-added, withholding, or similar taxes unless expressly stated otherwise.
Customer is responsible for applicable taxes associated with its purchase, except taxes imposed on ArmaDocs’ net income.
12.5 Payment Processor
Payments may be processed by a third-party payment processor.
ArmaDocs generally does not directly store complete payment-card information handled by the payment processor.
Use of payment-processing services may be subject to additional provider terms.
12.6 Failed Payments
If a payment cannot be completed, ArmaDocs or its payment processor may retry the payment and notify Customer.
ArmaDocs will ordinarily provide Customer a reasonable opportunity to correct a failed payment before suspending paid Services.
We may restrict or suspend access sooner where reasonably necessary to prevent fraud, abuse, security risk, or repeated unauthorized use.
Outstanding amounts remain payable.
13. Free Trials and Promotions
13.1 Free Trials
ArmaDocs may offer free trials or promotional access.
The duration and included functionality will be disclosed when the trial begins.
13.2 Conversion to Monthly Subscription
If a free trial requires a payment method and will automatically convert into a paid monthly subscription, ArmaDocs will disclose the applicable monthly price and automatic conversion before Customer begins the trial.
Unless Customer cancels before the disclosed deadline, the month-to-month subscription may begin and the applicable payment method may be charged.
13.3 Trial Limitations
We may limit eligibility for free trials and may modify or terminate trial programs to prevent abuse.
14. Cancellation and Refunds
14.1 Cancel Anytime
Customer may cancel its monthly subscription at any time using cancellation functionality made available through the Services or another cancellation method identified by ArmaDocs.
14.2 Effective Date of Cancellation
Cancellation prevents the next monthly renewal.
Unless otherwise stated, Customer will retain access to its paid subscription through the end of the monthly billing period for which Customer has already paid.
14.3 No Partial-Month Refunds
Except where required by law or expressly offered by ArmaDocs, monthly subscription fees already paid are non-refundable.
ArmaDocs does not provide prorated refunds or credits for unused portions of a monthly billing period following Customer cancellation.
Nothing in this Section limits rights that cannot lawfully be waived.
15. Plan Changes
Customer may be able to add, remove, upgrade, or downgrade modules or subscription features.
The pricing and effective date of a plan change will be disclosed when Customer requests the change.
ArmaDocs may make upgrades or newly purchased features effective immediately and may make downgrades or removal of paid functionality effective at the next monthly renewal.
16. Suspension
ArmaDocs may temporarily suspend or restrict access when reasonably necessary to address a security threat, prevent unauthorized access, respond to unlawful activity, prevent material harm to the Services or another customer, investigate suspected abuse, respond to a legal requirement, address material nonpayment, or address a material violation of these Terms.
Where reasonably practicable, we will attempt to notify Customer and provide an opportunity to resolve the issue.
Emergency security action may occur without advance notice.
17. Termination
17.1 Termination by Customer
Customer may stop using the Services and cancel its subscription as described in these Terms.
17.2 Termination by ArmaDocs
We may terminate Customer’s access for a material breach of these Terms if Customer fails to cure the breach within a reasonable period after notice, when cure is reasonably possible.
We may terminate immediately where continued access would create a significant security risk, violate applicable law, facilitate fraud or abuse, or materially harm ArmaDocs, its customers, or third parties.
17.3 Effect of Termination
Upon termination:
- Customer’s right to use the Services ends;
- unpaid amounts become due as permitted by applicable agreements and law;
- integrations may be disconnected; and
- Customer Data will be handled according to these Terms and our Privacy Policy.
Provisions that by their nature should survive termination will survive, including provisions relating to intellectual property, fees owed, disclaimers, limitations of liability, indemnification, dispute resolution, and other accrued rights.
18. Data Export and Deletion
18.1 Export
Where supported, Customer may export certain Customer Data using functionality provided through the Services.
Customers should maintain copies of information they are independently required to retain.
18.2 Following Termination
Following account termination, ArmaDocs may retain Customer Data for a limited period to permit recovery, resolve disputes, maintain backups, prevent fraud, or comply with legal obligations.
Data may subsequently be deleted or de-identified according to our retention practices.
18.3 Legal Retention
We may retain information longer when reasonably necessary to comply with law, enforce agreements, establish or defend legal claims, prevent fraud, maintain security, or fulfill other legitimate legal obligations.
19. Privacy and Security
19.1 Privacy Policy
Our collection and handling of personal information is described in the ArmaDocs Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference where applicable.
19.2 Security
ArmaDocs will maintain reasonable administrative, technical, and organizational safeguards appropriate to the nature of the information we process and the Services we provide.
No system connected to the Internet can be guaranteed to be completely secure.
19.3 Customer Security Responsibilities
Customer is responsible for maintaining reasonable security within systems and accounts under its control, including user access, credentials, connected services, devices, and endpoint security.
20. Confidentiality
20.1 Confidential Information
“Confidential Information” means non-public information disclosed by one party to the other that reasonably should be understood as confidential given its nature or the circumstances of disclosure.
Customer Data is Customer’s Confidential Information.
Non-public information concerning the Services, software architecture, security, pricing not publicly available, business operations, and technology may constitute ArmaDocs Confidential Information.
20.2 Protection
Each party will use the other party’s Confidential Information only as necessary to perform or receive the Services or exercise rights under these Terms, use reasonable measures to protect it, and disclose it only to personnel, contractors, professional advisors, and service providers who reasonably need access and are subject to appropriate confidentiality obligations.
20.3 Exclusions
Confidential Information does not include information that the receiving party can demonstrate is publicly available through no breach of these Terms, was lawfully known without confidentiality restrictions, was independently developed without use of the other party’s Confidential Information, or was lawfully obtained from another source without confidentiality restrictions.
20.4 Required Disclosure
A party may disclose Confidential Information when required by law, subpoena, court order, or governmental request.
Where legally permitted and reasonably practicable, the receiving party will provide notice before disclosure.
21. ArmaDocs Intellectual Property
ArmaDocs and its licensors retain all rights, title, and interest in and to the Services and associated intellectual property, including software, source code and object code, interfaces, workflows, designs, platform architecture, databases and database structures, documentation, algorithms, trademarks, branding, proprietary reports, templates, and technology developed by or for ArmaDocs.
Except for the limited rights expressly granted under these Terms, no rights are transferred to Customer.
Customer retains its rights in Customer Data.
22. Feedback
If Customer voluntarily provides suggestions, ideas, recommendations, or other feedback concerning the Services, Customer grants ArmaDocs a perpetual, worldwide, royalty-free right to use that feedback to develop, improve, operate, and commercialize the Services without obligation to Customer.
This does not grant ArmaDocs ownership of Customer Data or Customer’s Confidential Information.
23. Acceptable Use
Customer may not use the Services for unlawful purposes, to facilitate fraud, to impersonate another person or organization, to gain unauthorized access to systems or data, to transmit malicious software, to interfere with the Services, to harass or unlawfully discriminate against individuals, to violate privacy or intellectual-property rights, to send unlawful communications, to manipulate or falsify records for unlawful purposes, or in a manner reasonably likely to materially harm the security or availability of the Services.
24. Availability and Support
24.1 Availability
We strive to provide reliable Services but do not guarantee uninterrupted or error-free availability unless a separate service-level agreement expressly provides otherwise.
The Services may occasionally be unavailable because of maintenance, upgrades, infrastructure failures, Internet disruptions, third-party outages, security events, governmental actions, natural disasters, or circumstances outside our reasonable control.
24.2 Maintenance
We may perform scheduled or emergency maintenance.
Where reasonably practicable, we will attempt to minimize disruption to material functionality.
24.3 Support
Support channels, response expectations, and support availability may vary by subscription plan.
25. Beta and Experimental Features
We may offer functionality identified as beta, preview, experimental, early access, or similar.
Such features may be incomplete, contain errors, change substantially, have limited support, or be discontinued without notice.
Customer uses beta or experimental functionality at its discretion and should not rely upon such functionality for critical operations unless expressly authorized by ArmaDocs.
26. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
ARMADOCS DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN SUCH JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
27. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER ARMADOCS NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARMADOCS’ AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE.
THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.
28. Indemnification
28.1 Customer Indemnification
Customer agrees to defend, indemnify, and hold harmless ArmaDocs and its affiliates, officers, directors, employees, and agents from third-party claims, damages, liabilities, judgments, penalties, costs, and reasonable attorneys’ fees arising from or relating to:
- Customer Data supplied or controlled by Customer;
- Customer’s unlawful use of the Services;
- Customer’s material violation of these Terms;
- Customer’s violation of applicable law;
- Customer’s violation of a third party’s rights;
- communications initiated by Customer through the Services;
- Customer’s employment or contractor decisions; or
- Customer’s transportation operations.
28.2 ArmaDocs Intellectual Property Indemnification
ArmaDocs will defend Customer against a third-party claim alleging that Customer’s authorized use of the ArmaDocs Services directly infringes a United States patent, copyright, or trademark, and will indemnify Customer for damages and reasonable costs finally awarded against Customer or agreed by ArmaDocs in settlement of such claim.
This obligation does not apply to a claim resulting from Customer Data, Customer’s modification of the Services, use of the Services contrary to these Terms or documentation, combination of the Services with products, systems, data, or materials not provided or approved by ArmaDocs where the combination gives rise to the claim, continued use after ArmaDocs provides a reasonable non-infringing alternative, or Third-Party Services or third-party materials.
If such a claim occurs or is reasonably likely, ArmaDocs may, at its option:
- obtain the right for Customer to continue using the affected functionality;
- modify or replace the affected functionality with materially comparable non-infringing functionality; or
- terminate the affected functionality or subscription and refund any prepaid fees attributable to an unused portion of the then-current monthly billing period, if applicable.
28.3 Indemnification Procedure
The party seeking indemnification must provide prompt notice of the claim and reasonable cooperation.
The indemnifying party will control the defense and settlement, provided that it may not settle a claim in a manner that admits wrongdoing by the indemnified party or imposes material non-monetary obligations on that party without its written consent.
29. Government and Regulatory Changes
Transportation, tax, privacy, employment, communications, and other laws may change.
ArmaDocs may modify the Services when reasonably necessary to respond to legal or regulatory changes.
Customer remains responsible for determining how legal changes affect its business and use of the Services.
30. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we will provide reasonable notice through the Services, by email, or by another appropriate method.
The updated Terms will identify their effective date.
Continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
Where applicable law requires additional consent, we will obtain that consent as required.
31. Governing Law
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of California, without regard to conflict-of-laws principles.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
32. Dispute Resolution
32.1 Informal Resolution
Before initiating formal proceedings, the parties agree to attempt in good faith to resolve a dispute by providing written notice describing the dispute and allowing at least thirty (30) days for informal resolution.
Notices to ArmaDocs concerning disputes should be sent to:
Armada Trucking Group Inc. / ArmaDocs 324 N Towne Ave Pomona, CA 91767 United States Email: webmaster@armadocs.com
32.2 Binding Arbitration
Except for matters described below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved by binding arbitration rather than in court.
The arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Commercial Arbitration Rules and will be conducted by one arbitrator.
Unless the parties agree otherwise or the arbitrator determines that an in-person proceeding is reasonably necessary, hearings may be conducted remotely by video conference, telephone, document submission, or another method permitted by the applicable rules.
If an in-person arbitration proceeding is required and the parties do not agree on another location, it will take place in Los Angeles County, California.
Judgment on an arbitration award may be entered in any court having jurisdiction.
32.3 Exceptions
Either party may seek relief in court for infringement or misuse of intellectual property, unauthorized access to systems or data, misuse of Confidential Information, requests for temporary or preliminary injunctive relief, or claims that applicable law does not permit to be subject to mandatory arbitration.
32.4 Class and Representative Actions
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY AGREES TO BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim.
If applicable law renders this restriction unenforceable for a particular claim or form of relief, that claim or relief will proceed in a court of competent jurisdiction to the extent required by law.
32.5 Jury Trial Waiver
TO THE EXTENT A DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.

34. Assignment
Customer may not assign these Terms without ArmaDocs’ prior written consent, except in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets relating to Customer’s use of the Services, provided the successor assumes Customer’s obligations under these Terms.
ArmaDocs may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, transfer of the ArmaDocs business, formation of a separate entity to own or operate ArmaDocs, or similar business transaction.
Any successor operator of ArmaDocs will assume the applicable obligations associated with the Services and Customer Data.
35. Independent Parties
The parties are independent contractors.
These Terms do not create a partnership, franchise, joint venture, fiduciary relationship, employment relationship, or agency relationship between Customer and ArmaDocs.
Neither party has authority to bind the other except as expressly authorized.
36. Force Majeure
Neither party will be liable for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, earthquake, war, terrorism, civil unrest, labor disruptions, governmental action, widespread Internet or telecommunications failures, utility failures, cloud-infrastructure failures, cyberattacks not caused by a party’s failure to use reasonable security measures, or failures of critical third-party infrastructure.
This Section does not excuse Customer’s obligation to pay amounts already due.
37. Export and Sanctions Compliance
Customer may not use, export, re-export, or otherwise make the Services available in violation of applicable United States export-control or economic-sanctions laws.
Customer represents that it will not knowingly use the Services in a manner prohibited by applicable sanctions or export-control restrictions.
38. Entire Agreement
These Terms, the Privacy Policy, applicable order forms, and any additional terms expressly incorporated by reference constitute the agreement between Customer and ArmaDocs concerning the Services.
If an applicable signed order form conflicts with these Terms, the signed order form controls with respect to the specific subject matter of that conflict.
39. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
The invalid or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.
40. Waiver
A party’s failure to enforce a provision of these Terms does not waive its right to enforce that provision later.
A waiver is effective only when made in writing by an authorized representative of the waiving party.
41. Headings
Section headings are provided for convenience and do not affect interpretation of these Terms.
42. Electronic Agreement
Customer agrees that electronic acceptance of these Terms has the same legal effect as a handwritten signature to the extent permitted by applicable law.
Electronic records relating to Customer’s acceptance may be retained as evidence of the agreement.
